In January 2019, Blackbaud acquired YourCause, an as-a-service (SaaS) software provider that focuses on increasing the number of businesses and non-profit volunteers.    This Authorized Use Directive (« AUP ») meets the requirements for customer use of WhiteOwl products, solutions and solutions (« WhiteOwl products »). By signing an agreement with Solutions@MBAF dba WhiteOwl, you accept the following agreements: Blackbaud`s archived contracts are available here. The customer cannot: a) send, send or store material containing software viruses, worms, Trojans or other malicious computer codes, files, scripts, agents or programs in, to or from WHITEOWL products; (b) compromise or disrupt the integrity or performance of WHITEOWL products or the data they contain; (c) use WHITEOWL products in a manner inconsistent with existing documents; or (d) to try to gain unauthorized access to WHITEOWL products or related systems or networks. In the course of providing services to the client under this agreement, WHITEOWL pays for himself and his employees the work allowance and unemployment insurance, as required by law, and liability insurance for its employees during the client`s premises, determined in reasonable amounts by WHITEOWL. WHITEOWL will provide the customer, at the customer`s reasonable request, with the above insurance certification. Blackbaud acquired MicroEdge in 2014 for $160 million.  MicroEdge was a software provider for foundations with about 2,000 customers. Customers with a local version of WhiteOwl software must have an active and continuous maintenance contract to obtain WHITEOWL benefits. No credit or refund is granted for periods of partial subscription or maintenance. Cancellations will take effect from the last day of the validity period. WHITEOWL is required to provide only the software, services and delivery components defined in a written agreement or letter of commitment or work statement (the letter of commitment or work statement are called « SOW ») signed by both WHITEOWL and the Customer.
A SOW refers to a separate written document, drawn up from time to time by WHITEOWL, which contains at least THE description of the work to be done by WHITEOWL, (ii) a list of delivery items, if any, and (iii) the costs associated with the software or subscription and/or the work to be done by WHITEOWL under the contract. If the client wishes to amend the agreement, he must make a written request to WHITEOWL. No action may be taken by either party, in any form that relates to or results from the services provided under this agreement, more than one (1) year after the closing date of the services, unless a non-payment action by WHITEOWL may be brought at any time in accordance with applicable law.
